LOGO USAGE AGREEMENT
PHILLIPS AND JORDAN, INC.

USE OF THE PHILLIPS AND JORDAN, INC. LOGO(S), IN ALL FORMS, IMPLY ACCEPTANCE OF THIS AGREEMENT. IF YOU DO NOT AGREE TO ALL OF THE TERMS OF THIS AGREEMENT, PLEASE CONTACT US.

Phillips and Jordan, Inc. (P&J) grants you the non-exclusive, non-transferable right to use the Logo(s) referenced above.

By accepting this Agreement, you agree to the following:

All uses of P&J Logo(s) will inure to the benefit of P&J and you will not edit, alter, modify or prepare any derivative work from or based on the Logo(s). You also will not vary or otherwise change any of the Logo(s), including the color and style of the Logo(s), without the permission of P&J (P&J point of contact for such changes shall be Aaron Nichols, Corporate Communication Director).

You will not, directly or indirectly, imply that we (P&J) endorse, sponsor, certify or approve of any services, products, or events (unless P&J is an official sponsor of said event) without the permission of P&J (reference point of contact above); nor will you take any other action that might adversely affect the distinctive quality of our Logo(s), our corporate identity, or our public image.

In no event will P&J be liable to you, whether in contract or in tort or under any other legal theory (including strict liability) for any damages, including, but without limitation, direct or indirect, special, incidental, punitive, exemplary, consequential, lost profits or revenues or similar damages arising out of or in connection with this agreement.

P&J may terminate the licenses granted here at any time, for any reason. Upon termination of your rights under this agreement, you will immediately discontinue use of the Logo(s).

You may not assign the rights and licenses granted herein without our prior written consent. The validity and effect of this agreement shall be governed by the laws of the State of Tennessee, without regard to its conflicts of law rules. All claims relating to this agreement will be resolved in the state and federal courts located in Tennessee, and you agree to that venue and the exclusive jurisdiction of those courts. This agreement contains the entire agreement between us and you relating to the subject matter hereof, and cannot be modified or terminated except in a writing duly executed by both parties.
